Terms and Conditions

BP is the investment advisor of Basinghall Tech Fund I and also the initiator of the Basinghall Innovation Circle (“BIC”). BIC aims to support the digitalisation of European industry by providing research, organising events and networking, while encouraging an active exchange between the industry and start-ups.

The Industry Partner – company or legal entity represented by authorized person who is interested to join BIC to gain exposure to innovation and is accepting this BP Ts & Cs on any online source managed by Basinghall Partners and Industry Partner, together hereafter referred to as the parties (“Parties”)

The BP Ts & Cs sets out the standards for participation in BIC.

As part of the BP Ts & Cs, BIC intends to make innovation ideas, knowledge, start-ups, innovation experts more accessible to the Industry Partner, if applicable and possible.

With the data provided in the following sections the Industry Partner gives BIC information on the Industry Partner to better understand areas of interests as well as to customize potential offerings.

The Parties will use all information provided by each other as well as further public documentation by way of reference. The Parties are not required to conduct any due diligence on the information provided to the other Party. The Parties are responsible for their own interpretation of information provided and business decisions.

All confidential information concerning the Parties, which is given to each other in connection with the BP Ts &Cs will be used exclusively internally. It is hereby agreed that BIC is allowed to use the data for analytical purposes, for the improvement of start-up selection and due diligence for the underlying fund as well as to select start-ups or partnerships for the Industry Partner. Except as otherwise required by law, any regulatory authority, or for the purposes of resolving any actual or potential dispute in connection with the matters described herein, the Parties will not disclose this information to any third party other than its affiliates and advisers whose knowledge of such confidential information is required in connection with the BP Ts & Cs. The term “confidential information” does not include information which

            (i) prior to delivery of such information to BIC, was already in the possession of BIC or any of its affiliates;

            (ii) was or becomes generally available to the public other than as a result of disclosure by BIC in breach of these Ts & Cs;

            (iii) becomes available to BIC or any of its affiliates on a non-confidential basis from a source other than the Industry Partner provided that BIC does not know that such source is bound by a confidentiality agreement with, or the obligation of secrecy to, the Industry Partner; or

            (iv) was or is independently developed by BIC. The participation of the Industry Partner within BIC, however, can be used by BP / BIC for presentation and marketing purposes, unless explicitly otherwise requested not to by the Industry Partner.

All Services provided by BIC are currently offered free of charge. Any services provided by partners, start-ups or others introduced by BIC will be conditional to a separate engagement letter between the Industry Partner and those other parties. Events, research etc. may be offered at a cost contribution.  

Any opinion, valuation or advice, whether formal or informal, written or oral, provided by BIC in connection with these Ts &Cs,  unless stated otherwise, is exclusively for the information of the Industry Partner and, except as required by applicable law or any regulatory authority, may not be disclosed, in whole or in part (other than to directors, officers, employees and advisers of the Industry Partner who is directly concerned with these Ts &Cs,  and whose knowledge of such information is essential for this purpose), nor summarized, excerpted from or otherwise publicly referred to without BIC’s prior written consent. If BIC is requested to render an opinion, the nature and scope of any opinion provided by BIC as well as the form and substance of such opinion shall be as BIC deems appropriate. Please note that (a) the Industry Partner must rely on the expertise of its respective specialists, notwithstanding legal, environmental, accounting, tax advisers and other specialist advisers in relation to  regulatory, taxation, transformation, IT, software, hardware or similar, (b) the Industry Partner will remain solely responsible for all underlying business decisions, (c) BIC will not be responsible for the advice or services provided by any of the Industry Partner’s other advisers or contractors.

In connection with these Ts & Cs, BIC may delegate all or a portion of the services to be provided hereunder to one or more of its affiliates or partners; however, that no such delegation shall modify or affect the terms hereof, including BIC’s obligations hereunder. Accordingly, if required, the Industry Partner will recognize such participation of said affiliate.     

The Parties shall be indemnified and held harmless by each other for and against any and all liabilities, losses, diminution in value, damages, claims, costs and expenses (suffered or incurred, arising out of or resulting from: (i) any losses investors might suffer (ii) any dispute with investors or (iii) any other circumstances arising out of these Ts & Cs, e.g. business decisions based on the provided information.

The Ts & Cs may be terminated at any time with or without cause by both parties upon one month written notice to the other party. Termination should not affect the undertakings with regard to confidentiality, BIC Advice & indemnification.

All notices for the Industry Partner, in relation to these BP Ts & Cs and termination, as relevant, will be sent to Industry Party email of the registered email on this registration of interest.

The BP Ts & Cs shall have an immediate effect from accepting it.  Basinghall Partners expressly reserves the right to modify the BP Ts & Cs at any time in its sole discretion along with notice via any available source of the effective date of such modified BP Ts & Cs.

By accepting these BP Ts & Cs on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that company or other legal entity to the BP Ts &Cs and confirm that you have read, understood and agree to be bound by the BP Ts & Cs. Basinghall Partners Limited is registered at 2 Swan Lane, London, United Kingdom, EC4R 3TT, referred as “BP”.

These BP Ts & Cs will be governed, as applicable, by and constructed in accordance with the laws of England and Wales.
